Custom Software Applications and Website - Terms and Conditions-

a) The copyright for software material provided by Neteazy LLC., such as source code, compiled code, design documentation and program executables, will remain the property of Neteazy LLC. until such time as the complete payment has been made in full for our intellectual property rights whereupon they will become the property of the client.

b) When both Neteazy LLC. and the client agree that the software project meets the criteria agreed during the commissioning process, Neteazy LLC. will invoice the client for the remaining amount due for the commission. Upon receipt of payment, Neteazy LLC. will supply the software project, with end-user installer if appropriate, via a download (or cd-rom disk) for the client to use.

c) The copyright for all non software material provided by Neteazy LLC. , such as HTML code, graphics, photographs and text, will remain the property of Neteazy LLC. until such time as payment has been made in full whereupon they will become the property of the client.

d) In the event that the client wishes to discontinue services of Neteazy LLC., the client is required to submit the request in writing, and is responsible for payment that is due up until termination date.




Neteazy Electronic Self-Help Repossession Policy-



Neteazy LLC. (a Microsoft Small Business Partner) will use the electronic self-help repossession policy in the event of a client contract breach (ie: non-payment, unlawful use of software, and reverse-engineering of the software). Neteazy LLC. will make every attempt possible to remedy the situation and work with the client before this measure is taken, and is not responsible for business lost due to a client breach in contract, that removing the software developed by Neteazy may incur.

In the event a client hires Neteazy LLC. to develop a website or customized software application, they agree to the above terms and policies by default.




Website Design and Customized Software Copyright Rules-


Neteazy LLC. abides by the US Copyright law, underlined here, and all clients of Neteazy LLC. must also abide by these laws at all times.

According to the U.S. Copyright Office, "Copyright is a form of protection provided to the authors of 'original works of authorship,' including literary, dramatic, musical, artistic, and certain other intellectual works."

The basis of the U.S. law is the Copyright Act of 1976, which gives authors of original works exclusive rights to the works and the option to grant usage rights to others. Generally, the rights include:

* Reproduction

* Development of derivative works

* Distribution

* Public display

Neteazy LLC. abides by the US Copyright law, underlined here, and all clients of Neteazy LLC. must also abide by these laws at all times.




Payment Terms and Conditions-


Neteazy LLC. breaks down its customer payments in the following way:

1. First payment (down payment) is 25% of the original estimated cost to develop the product, and is due before commencement of development.

2. Second payment is the second 25% of the original estimate, or 25% of an updated estimate, in the event the customer requests additional work added to the original one. This payment is due when Beta testing begins, or pre-release testing.

3. The final payment is due before the software application is 'given' to the client. Once beta testing has been completed, and the client is satisfied with the product, the client will pay off their remaining balance, at which time they will become the owner of the product. Until such time, all rights and exclusive copyrights belong to Neteazy LLC. until 100% payment is received. Disclaimer-Neteazy LLC. does not guarantee the product to be "bug free" at this time, as "bugs" are a normal component of software applications at any phase of development, including when the product is made live or handed over to the client. Neteazy LLC. does guarantee technical support and "bug fixes" will be provided in the event a client experiences a "bug" at any time the client is using a customized software application or website developed by Neteazy LLC.





In the event a client hires Neteazy LLC. to develop a website or customized software application, they must agree to the above terms and policies. Upon commencement of development of a website or customized software application for a client, it is understood the client/client representative has read and agrees to these terms, conditions, policies and payment agreement.





Glossary of Terms-



Bug- In computer technology, a bug is a coding error in a computer program. (Here we consider a program to also include the microcode that is manufactured into a microprocessor.) The process of finding bugs before program users do is called debugging. Debugging starts after the code is first written and continues in successive stages as code is combined with other units of programming to form a software product, such as an operating system or an application. After a product is released or during public beta testing, bugs are still apt to be discovered. When this occurs, users have to either find a way to avoid using the "buggy" code or get a patch from the originators of the code.


Beta Test/Testing- In software development, a beta test is the second phase of software testing in which a sampling of the intended audience tries the product out. The intention of beta testing is to identify bugs and fix them before it is released or made live. Beta testing can be considered "pre-release testing."
